1. Agreement structure and acceptance
These Terms of Service ("Terms") are a binding agreement between LeadGuardian.ai ("LeadGuardian.ai," "we," "us") and the legal entity or individual accepting these Terms ("Customer," "you"). These Terms govern access to and use of LeadGuardian.ai's website, dashboard, APIs, voice features, and related services (collectively, the "Services").
If you accept on behalf of an entity, you represent that you have authority to bind that entity. You must be at least 18 years old to use the Services.
2. Provision of services
LeadGuardian.ai provides software-as-a-service functionality for call handling, AI voice automation, scheduling, and related workflow orchestration. We may update or improve features over time, provided we do not materially reduce core subscribed functionality during an active paid term.
Availability and support levels, if any, may be described in applicable order forms, plan descriptions, or written service commitments.
3. Accounts, users, and security
Customer is responsible for all activities under its accounts, including acts and omissions of authorized users and contractors.
Customer will maintain the confidentiality of credentials, use reasonable security measures, and promptly notify LeadGuardian.ai of unauthorized access or suspected security incidents.
Customer must keep account and billing details complete and accurate.
4. Customer obligations and legal compliance
You are solely responsible for complying with all applicable telecommunication, recording, and marketing laws for your use case, including U.S. federal and state laws such as the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), Do-Not-Call (DNC) obligations, and state call recording consent requirements.
Before recording or transcribing calls, you must provide legally sufficient notice and obtain any required consent. For multi-state calls, you are responsible for applying the strictest applicable consent standard.
If you use outbound calling, AI-generated calls, or prerecorded messages, you are responsible for obtaining and maintaining valid consent, honoring opt-out requests, and maintaining suppression lists.
5. Customer data and processing roles
As between the parties, Customer retains all right, title, and interest in Customer Data. Customer grants LeadGuardian.ai a limited right to host, copy, process, transmit, and display Customer Data solely as necessary to provide, secure, and improve the Services in accordance with these Terms.
Customer is responsible for the legality, quality, and accuracy of Customer Data and for providing all required notices to, and obtaining all required permissions from, callers and end users.
If required for Customer's regulatory obligations, the parties may enter a separate data processing addendum.
6. Acceptable use restrictions
You may not use the Services for unlawful harassment, fraud, spoofing, deceptive practices, unauthorized surveillance, or any activity that violates privacy, telecommunications, consumer protection, sanctions, or export control laws.
You may not attempt to reverse engineer, interfere with, or disrupt the Services, or use the Services to develop a competing product using our confidential information.
7. Third-party services and dependencies
The Services may interoperate with third-party providers (for example, telephony, calendar, cloud hosting, payments, and model providers). Customer's use of third-party services is governed by those providers' separate terms.
LeadGuardian.ai is not responsible for third-party products, outages, policy changes, or acts/omissions outside LeadGuardian.ai's reasonable control.
8. Fees, taxes, renewal, and suspension
Fees are billed in advance on a recurring subscription basis unless otherwise agreed in writing. Except as required by law, fees are non-cancelable and non-refundable.
Customer is responsible for applicable taxes, duties, or levies, excluding taxes based on LeadGuardian.ai's net income.
Unless otherwise stated in writing, subscriptions renew automatically for successive billing periods until canceled. Customer may cancel future renewals from account settings or by written request before the next billing cycle.
LeadGuardian.ai may suspend access for non-payment, security threats, legal non-compliance, or material breach.
9. Intellectual property and feedback
LeadGuardian.ai and its licensors retain all right, title, and interest in the Services, software, documentation, and related intellectual property.
Subject to these Terms, LeadGuardian.ai grants Customer a limited, non-exclusive, non-transferable right to access and use the Services during the applicable subscription term for Customer's internal business purposes.
If Customer provides suggestions or feedback, LeadGuardian.ai may use it without restriction or compensation.
10. Confidentiality
Each party receiving Confidential Information from the other party agrees to use it only for purposes of these Terms, protect it with reasonable care, and not disclose it except to personnel and advisors with a need to know and confidentiality obligations.
Confidential Information does not include information that is publicly available without breach, independently developed, or rightfully received from a third party without duty of confidentiality.
11. Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADGUARDIAN.AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LeadGuardian.ai is a technology provider and does not provide legal advice. You are responsible for determining whether your workflows and scripts satisfy applicable legal requirements.
12. Limitation of liability
To the maximum extent permitted by law, LeadGuardian.ai will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
LeadGuardian.ai's aggregate liability for all claims relating to the Services will not exceed the amounts paid by you to LeadGuardian.ai for the Services in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You will defend, indemnify, and hold harmless LeadGuardian.ai from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the Services, or your violation of applicable law or these Terms.
14. Term and termination
These Terms apply from first acceptance and continue while Customer accesses the Services.
Either party may terminate for material breach if that breach is not cured within thirty (30) days after written notice, except LeadGuardian.ai may suspend immediately for critical security or legal risk.
Upon termination or expiration, Customer access ends and each party may retain data as required by law, security, backup, or audit obligations. Sections that by nature survive (including payment obligations, confidentiality, IP, disclaimers, liability limitations, and indemnities) survive.
15. Governing law and dispute forum
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules, unless mandatory consumer or privacy law requires otherwise.
Any dispute arising out of these Terms will be brought in the competent courts of Tel Aviv, Israel, unless otherwise required by mandatory law.
16. Changes to terms
We may update these Terms from time to time. Material changes will be posted here with an updated effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
17. General terms
These Terms are the entire agreement between the parties regarding the Services and supersede prior discussions on the same subject matter.
Customer may not assign these Terms without LeadGuardian.ai's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets.
If any provision is unenforceable, the remaining provisions remain in effect.
